We
represents buyers and sellers domestically and internationally in all
aspects of the negotiation and financing of mergers and acquisitions,
including:
- structuring
business combination transactions to maximize economic benefits
- negotiating and
drafting asset and stock purchase and sale agreements, and merger
agreements
- assisting in the
due diligence investigation of a business sought to be acquired
- preparing
businesses sought to be sold and assistance in preparing seller for
buyer's due diligence investigation
- assisting in the
preparation of offering memoranda of businesses sought to be sold and
the development of selling procedures
- developing
management and employee participation and incentive programs
- assisting in
public relations and grass roots efforts
- negotiating and
drafting documents for financing transactions, such as bank loan
agreements, insurance company funding, mezzanine financing, and sales
of debt or equity securities
- preparing
Hart-Scott-Rodino notifications and advice regarding any antitrust
implications of the transaction
- advising on
post-closing matters such as the renegotiation of collective
bargaining agreements and implementing compliance procedures
- constructing and
implementing public policy strategies designed to identify and deal
with potential issues of concern to the various corporate
constituencies (e.g., local community, employees, local, state and
federal officials) affected by the transaction and that could lead to
regulatory or political obstacles affecting the timing of completion
of the transaction
- coordinating
public policy strategies with press/media strategies to ensure
consistent and effective communication of supportive themes to general
public and key constituencies
- analyzing
issues, for transactions
that may affect U.S. national security interests
- advising
non-European buyers and sellers of the legal requirements of entering
into transactions in Europe.
